Abstract

The article raises the issue on which there is rarely an emphasis in legal literature. This
causes its relevance as an independent subject of research to consider the regulation of legal
relations with regard to appealing decisions of the corporate governance bodies by persons who
make up these bodies. Based on the comparative-legal method, the author gives a brief
overview of the legal and regulatory sources of Russia and Germany that regulate the relevant
legal relations. As part of the study, the common features and differences in the legislation of
the two countries are shown. In the domestic civil legislation it is proposed to consolidate the
norms establishing a common approach for all corporations to determination of cases when
persons making up the management bodies of a corporation are entitled to appeal decisions of
the bodies of this legal entity.
